 – A regulation under the SEC’s Regulation D that allows real estate sponsors to raise capital from both accredited investors and up to 35 non-accredited but sophisticated investors. Unlike 506(c), public marketing is not allowed. Sponsors must have a pre-existing, substantive relationship with all investors. It’s ideal for private, friends-and-family-style raises.
